    Terms and Conditions of Sale (TCS)

    1) Scope of Application

    These Terms and Conditions of Sale (“TCS”) govern consumer sales made through New kenshi, operated by NOITAKY Matthieu, whose registered office is located at 17 rue de l'Amazone, 44470 Carquefou, France.

    These TCS apply to orders placed by customers purchasing products primarily for personal rather than business purposes.

    Before submitting an order, the customer is given access to these TCS and is invited to read and accept them.

    By ticking the relevant acceptance box and submitting the order through the checkout, the customer confirms that they have read and accepted these TCS.

    Electronic communications, records and contracts may have legal effect in accordance with applicable law, including the Singapore Electronic Transactions Act 2010 where it applies.

    The version of these TCS applicable to an order is the version available on New kenshi when the order is submitted.

    NOITAKY Matthieu is established in France. The fact that products are offered or delivered to customers in Singapore does not mean that NOITAKY Matthieu is incorporated or physically established in Singapore. Mandatory Singapore consumer protections remain applicable where the relevant legislation applies to the transaction.

    2) Products

    Products offered for sale are described and presented as accurately as reasonably possible.

    Product pages may include photographs, dimensions, materials, specifications, functions, availability and other information intended to help customers make an informed purchasing decision.

    Minor differences may occur between images displayed on a screen and the physical product received due to factors including lighting, screen settings, materials, normal manufacturing tolerances or natural variations.

    These minor differences do not affect the customer's rights where a product is materially different from its description or otherwise fails to conform to the applicable contract.

    New kenshi may modify the selection or characteristics of products offered for future orders. Such changes do not retrospectively alter an order already accepted.

    3) Prices, Currency, GST and Other Charges

    Prices are displayed in the currency applicable to the customer's selected market or delivery destination. For the Singapore market, prices may generally be displayed in Singapore dollars (SGD), unless another currency is clearly indicated before purchase.

    All prices include any taxes that New kenshi is legally required to include in the advertised product price.

    Where New kenshi is required to collect Singapore GST at the point of sale, the applicable GST will be included or clearly displayed as part of the transaction before the customer submits the order.

    Singapore GST treatment for imported goods depends on factors including the value and method of importation and whether the overseas supplier is required to be registered for GST in Singapore.

    For imported low-value goods, GST may be collected at the point of purchase where the applicable Singapore overseas-vendor rules require it.

    For other imports, GST, customs duties or other import charges may instead be assessed at importation where applicable.

    No charge imposed directly by New kenshi will be added after the order without an appropriate contractual or legal basis.

    Delivery is free to United States, United Kingdom, Canada, Australia, New Zealand. unless a different delivery charge is clearly shown before the order is submitted.

    New kenshi may update prices at any time for future orders. A confirmed order remains subject to the price accepted for that order, except where cancellation or correction is permitted in the case of an obvious pricing error.

    4) Order Process and Contract Formation

    The customer selects the desired products and reviews the shopping cart before proceeding to checkout.

    Before submitting the order, the customer has an opportunity to review the products, quantities, prices, delivery information and other material details and to correct errors where the checkout functionality allows.

    Submitting an order constitutes an offer by the customer to purchase the products under these TCS.

    The customer will normally receive an electronic acknowledgement after submitting the order.

    The sales contract becomes binding when New kenshi accepts the order by sending an order confirmation or otherwise expressly confirming acceptance, subject to payment authorisation.

    New kenshi may refuse or cancel an order where reasonably justified, including in cases of:

    • Payment failure;
    • Suspected fraud or unlawful activity;
    • Product unavailability;
    • An obvious pricing or product-information error;
    • A technical error preventing proper processing of the transaction;
    • A delivery destination that cannot reasonably be served.

    If an order is cancelled after payment has been collected and before the relevant products are supplied, the affected payment will be refunded.

    5) Payment

    Payment is due when the order is submitted unless a different payment arrangement is clearly offered during checkout.

    Accepted payment methods are those displayed at checkout and may include credit or debit cards, PayPal, Klarna, Apple Pay, Google Pay or other available payment methods.

    Payments are processed through secure third-party payment service providers.

    Full payment-card details are not ordinarily stored directly on New kenshi website servers and are handled by the relevant payment provider in accordance with its security and privacy requirements.

    An order may be suspended or cancelled where payment is refused, reversed, identified as fraudulent or otherwise cannot be successfully completed.

    6) Delivery

    Delivery is free, with no minimum purchase amount, to the destinations covered by United States, United Kingdom, Canada, Australia, New Zealand., unless otherwise clearly indicated before checkout.

    Orders are normally processed within 2 to 3 business days after payment confirmation.

    The usual delivery time after dispatch is 4 to 8 business days.

    The estimated total delivery time is 7 to 10 business days.

    A more specific estimate displayed on a product page, at checkout or in an order confirmation may apply to the relevant order.

    Delivery times may vary depending on the destination, parcel size, logistics network, customs procedures, public holidays, peak periods, severe weather or other circumstances outside our reasonable control.

    Where no specific delivery time has been fixed and the applicable Singapore Sale of Goods Act rules govern the transaction, goods that the seller is required to send must be sent within a reasonable time.

    Delivery and availability statements will not knowingly be false or misleading.

    Products are delivered to the address entered during checkout. The customer is responsible for providing accurate and complete delivery information.

    If a delivery fails exclusively because the customer provided incorrect or incomplete information or failed to receive or collect the parcel after reasonable attempts, reasonable reshipping costs may be charged where permitted by applicable law.

    7) Receipt and Conformity of Goods

    Customers are encouraged to check the parcel and products promptly after delivery.

    If an item is missing, damaged, incorrect or appears not to conform to the order, please contact contact@kenshiblades.com as soon as reasonably possible.

    Where useful and reasonably available, customers may provide the order number, a description of the issue and photographs or videos.

    Any recommendation to report visible transport damage within 48 hours is intended solely to facilitate investigation with the carrier. It does not replace or shorten a longer mandatory statutory remedy that may apply.

    8) 14-Day Contractual Change-of-Mind Return

    New kenshi provides customers with a contractual right to notify us within 14 days after receiving an eligible order that they wish to return it without providing a reason.

    Important: Singapore law does not generally provide a universal statutory 14-day cooling-off right for ordinary online purchases simply because the customer changes their mind. This 14-day return right is therefore an additional contractual benefit offered by New kenshi.

    To request a change-of-mind return, contact contact@kenshiblades.com and provide:

    • Your name;
    • Your order number;
    • The product or products concerned.

    After notifying us, the eligible products should be returned within 14 days in accordance with the instructions provided.

    Products returned under the contractual change-of-mind policy should be complete, unused beyond what is reasonably necessary for inspection and in their original condition.

    Original packaging should be retained where reasonably possible.

    The return address will be provided by customer service. Please contact contact@kenshiblades.com before returning a product so that the appropriate address can be provided.

    Direct return costs for a change-of-mind return are borne by the customer unless New kenshi expressly agrees otherwise.

    This contractual return policy does not limit statutory remedies relating to faulty or non-conforming goods.

    9) Faulty, Damaged or Non-Conforming Goods

    Where Singapore law applies, customers may benefit from statutory protections under the Consumer Protection (Fair Trading) Act 2003 (“CPFTA”), including the provisions commonly referred to as the Lemon Law, and the Sale of Goods Act 1979.

    Satisfactory Quality and Fitness for Purpose

    Where the applicable provisions of the Sale of Goods Act apply, goods supplied by a seller acting in the course of business are subject to an implied condition that they are of satisfactory quality.

    Depending on the circumstances, satisfactory quality may include:

    • Fitness for the purposes for which goods of that type are commonly supplied;
    • Acceptable appearance and finish;
    • Freedom from minor defects;
    • Safety;
    • Durability.

    Where the customer makes a particular purpose known to the seller and the relevant statutory conditions are satisfied, the goods may also be required to be reasonably fit for that purpose.

    Singapore Lemon Law

    Where the Lemon Law provisions apply and goods did not conform to the applicable contract at the time of delivery, the customer may have statutory rights to require:

    • Repair; or
    • Replacement.

    The repair or replacement must be carried out within a reasonable time and without causing significant inconvenience to the customer.

    The seller bears the necessary statutory costs of repair or replacement, including applicable labour, materials and postage.

    A particular remedy may not be required where it is impossible or disproportionate under the applicable statutory rules.

    Six-Month Presumption

    If a lack of conformity is established within six months after delivery, it is generally presumed to have existed at the time of delivery unless the seller establishes otherwise or the presumption is incompatible with the nature of the goods or the defect.

    This six-month period concerns the evidential presumption. It is not a six-month statutory warranty expiry period.

    Price Reduction or Rescission

    Where the applicable statutory requirements are met, the customer may be entitled to an appropriate price reduction or to rescind the contract for the affected goods if repair or replacement is unavailable, impossible, disproportionate, or is not completed within a reasonable time and without significant inconvenience.

    10) Refunds

    Refunds due under the contractual change-of-mind policy are normally processed within a maximum of 10 business days after the returned product has been received and, where appropriate, verified.

    Refunds are normally issued through the same payment method used for the original transaction where technically possible, unless another method is agreed.

    For contractual change-of-mind returns, an appropriate deduction may be made where the customer's handling, use, damage or failure to return components has materially reduced the value of the product.

    Such contractual conditions do not apply where they would conflict with a mandatory statutory remedy relating to non-conforming goods.

    Where a refund is required under Singapore law, it will be provided according to the requirements applicable to the particular statutory remedy.

    11) Product Availability

    Product availability may change between the time a product is viewed and the time an order is accepted.

    If a product becomes unavailable after an order has been accepted, the customer will be informed as soon as reasonably possible.

    Depending on the circumstances, the customer may be offered:

    • A reasonable alternative where the customer agrees;
    • The option to wait for restocking; or
    • A full refund of the amount paid for the unavailable product.

    New kenshi will not knowingly accept payment for goods if it knows or ought reasonably to know that it will be unable to supply those goods within the period represented to the customer or within a reasonable period.

    12) Liability

    Products must be used, installed, maintained and stored in accordance with their intended purpose and any applicable instructions or safety warnings.

    New kenshi is not responsible for damage caused exclusively by misuse, abnormal use, improper storage, unauthorised modification or disregard of clear safety instructions, to the extent permitted by applicable law.

    New kenshi may not be responsible for delay or failure caused exclusively by circumstances outside its reasonable control, subject to any statutory or contractual rights that the customer retains.

    Website access may occasionally be interrupted due to maintenance, security operations, hosting failures or technical issues.

    Despite reasonable efforts to ensure accuracy, technical, typographical or pricing errors may occur. Where an obvious error materially affects an order, New kenshi may cancel the affected order and provide a refund of amounts already paid.

    Minor differences in colours or visual rendering resulting solely from screen or lighting conditions are not necessarily defects.

    Third-party links are provided for convenience and New kenshi is not responsible for independent third-party content or services except where liability cannot lawfully be excluded.

    Any limitation of liability contained in these TCS applies only to the extent permitted by applicable law.

    Nothing in these TCS excludes or restricts liability or consumer rights that cannot legally be excluded or restricted.

    13) Personal Data

    Personal data is processed for purposes including order processing, delivery, payment, customer service, fraud prevention, legal compliance and other purposes described in our Privacy Policy.

    NOITAKY Matthieu is established in France and processes personal data in accordance with the GDPR and applicable French data-protection legislation.

    Where the Singapore Personal Data Protection Act 2012 (“PDPA”) applies, personal data relating to individuals in Singapore will also be handled in accordance with the applicable PDPA obligations.

    14) Complaints and Consumer Dispute Resolution

    If a complaint arises, the customer is encouraged to contact New kenshi first through contact@kenshiblades.com so that an amicable resolution can be attempted.

    Consumers Association of Singapore (CASE)

    Where its services and eligibility conditions apply, consumers in Singapore may approach the Consumers Association of Singapore (CASE) for assistance with individual consumer disputes.

    Competition and Consumer Commission of Singapore (CCCS)

    The Competition and Consumer Commission of Singapore (CCCS) administers the Consumer Protection (Fair Trading) Act.

    CCCS does not generally act on behalf of individual consumers to obtain refunds or other private redress. CASE is generally the relevant first point of contact for individual local consumer disputes.

    Small Claims Tribunals

    Singapore's Small Claims Tribunals may hear certain eligible claims involving goods or consumer transactions, subject to statutory monetary, time, territorial and jurisdictional requirements.

    However, the tribunals cannot hear a claim against a respondent located outside Singapore where the claim cannot be served on that respondent in Singapore.

    Since NOITAKY Matthieu is established in France, the Small Claims Tribunals should not be regarded as an automatically available remedy against NOITAKY Matthieu.

    The customer retains the right to use any other competent court or dispute-resolution mechanism available under applicable law.

    15) Applicable Law and Jurisdiction

    These TCS are generally governed by French law because NOITAKY Matthieu is established in France.

    This choice of law does not exclude any mandatory Singapore consumer protection that applies to the transaction and cannot lawfully be excluded by contract.

    In particular, the unfair-practice provisions of the Singapore Consumer Protection (Fair Trading) Act may apply where the supplier or consumer is resident in Singapore or where the offer or acceptance relating to the consumer transaction is made in or sent from Singapore.

    In the event of a dispute, the parties should first attempt to resolve the matter amicably through contact@kenshiblades.com.

    If no amicable resolution is reached, proceedings may be brought before a court having jurisdiction under the applicable rules.

    Nothing in these TCS imposes exclusive French jurisdiction on a consumer where such a restriction would be invalid or unenforceable under mandatory applicable law.

    16) Cancellation and Suspension

    By New kenshi

    New kenshi may refuse, cancel or suspend an order where reasonably justified, including in cases of:

    • Non-payment or payment failure;
    • Fraud or reasonable suspicion of fraud;
    • Unlawful or abusive activity;
    • Manifest pricing or product-information error;
    • Product unavailability;
    • Technical errors preventing proper fulfilment;
    • Other circumstances where fulfilment would be unlawful or objectively impossible.

    If an unshipped order is cancelled after payment has been collected, the amount paid for the cancelled goods will be refunded.

    Customers may request cancellation before dispatch by contacting contact@kenshiblades.com.

    Where cancellation can still reasonably be processed before dispatch, the affected order will be cancelled and refunded.

    Once the order has been dispatched, the contractual Returns and Refunds Policy and any statutory rights applicable to the order will apply.

    Effect of Cancellation

    Cancellation does not affect rights or obligations that arose before cancellation or provisions that by their nature are intended to continue afterwards.

    Nothing in this section restricts a mandatory consumer right.

    17) Changes to these TCS

    New kenshi may update these TCS to reflect changes in law, website functionality, commercial practices or service providers.

    The version applicable to an order is the version made available when that order was submitted and accepted.

    Later changes do not retrospectively alter an existing contract unless required by law or expressly agreed with the customer.

    18) Intellectual Property

    Content available on New kenshi, including texts, product descriptions, photographs, videos, visuals, logos, trademarks, graphic elements, website structure and code, may be protected by applicable copyright, trademark and other intellectual-property laws.

    Except where permitted by law, reproduction, adaptation, translation, extraction, commercial reuse or distribution of protected material without prior authorisation is prohibited.

    Customers are granted a limited, personal and non-exclusive right to access and use the website for ordinary browsing and purchasing purposes.

    Unauthorised commercial reuse of product photographs, descriptions or other proprietary content is prohibited.

    Where a customer voluntarily publishes a review, photograph or other content through functionality provided by New kenshi, any licence required for displaying or moderating that content will be subject to the applicable submission terms and privacy rights.

    20) Additional Mandatory Consumer Terms — Singapore

    Nothing in these TCS excludes, restricts or modifies a consumer right, implied contractual term, remedy or liability that cannot lawfully be excluded or restricted where Singapore law applies.

    20.1) Consumer Protection (Fair Trading) Act

    Where Part 2 of the Consumer Protection (Fair Trading) Act applies, it is an unfair practice for a supplier in relation to a consumer transaction to:

    • Do, say or omit something where the result could reasonably deceive or mislead a consumer;
    • Make a false claim;
    • Take advantage of a consumer in circumstances covered by the Act;
    • Engage in another unfair practice identified by the legislation.

    These protections may apply before, during or after a consumer transaction.

    20.2) Cross-Border Application of CPFTA

    The unfair-practice provisions of the CPFTA may apply where:

    • The supplier or consumer is resident in Singapore; or
    • The offer or acceptance relating to the consumer transaction is made in or sent from Singapore.

    Accordingly, the fact that NOITAKY Matthieu is established in France does not by itself mean that Singapore consumer-protection provisions can never apply to a Singapore customer.

    20.3) Singapore Lemon Law

    Where the relevant Lemon Law provisions apply to goods that did not conform to the applicable contract at the time of delivery, the customer may require repair or replacement subject to the statutory conditions.

    The repair or replacement must be completed within a reasonable time and without significant inconvenience to the customer.

    The seller bears the necessary costs required by the legislation, including applicable labour, materials and postage.

    20.4) Six-Month Presumption

    If a lack of conformity is established within six months after delivery, it is generally presumed that the goods did not conform at the time of delivery unless:

    • It is established that the goods did conform at that time; or
    • The presumption is incompatible with the nature of the goods or the nature of the lack of conformity.

    This is an evidential presumption and not a six-month expiry period for all consumer remedies.

    20.5) Price Reduction or Rescission

    Where the statutory requirements are met, the customer may seek an appropriate reduction in price or rescission of the contract for the affected goods where:

    • Neither repair nor replacement can properly be required under the statutory rules; or
    • The customer has required repair or replacement but the seller has failed to provide it within a reasonable time and without significant inconvenience.

    Where a contract is rescinded under the applicable Lemon Law provision, any reimbursement may be subject to a lawful reduction taking account of the customer's use of the goods where the legislation permits this.

    20.6) Sale of Goods Act

    Where applicable, the Singapore Sale of Goods Act implies conditions concerning satisfactory quality and fitness for purpose into certain contracts made by sellers acting in the course of business.

    Relevant aspects of satisfactory quality may include:

    • Fitness for ordinary purposes;
    • Appearance and finish;
    • Freedom from minor defects;
    • Safety;
    • Durability.

    20.7) Delivery

    Singapore law does not provide a universal statutory rule requiring every ordinary e-commerce order to be delivered within exactly 30 days.

    Where no delivery time has been fixed and the applicable Sale of Goods Act provisions govern the transaction, the goods must be sent within a reasonable time.

    New kenshi will not knowingly accept payment where it knows or ought reasonably to know that it cannot supply the goods within a delivery period represented to the customer or within a reasonable period.

    20.8) Contractual 14-Day Return Policy

    There is no general Singapore statutory right requiring a seller to accept a return solely because a customer changes their mind about conforming goods purchased online.

    The 14-day return right contained in Section 8 is therefore an additional contractual benefit offered by New kenshi.

    Its contractual conditions do not limit remedies available for defective or non-conforming goods.

    20.9) Electronic Contracts

    Where the Singapore Electronic Transactions Act applies, a contract is not denied validity or enforceability solely because electronic communications were used in its formation.

    Accordingly, orders and contractual communications may be created, transmitted, accepted and retained electronically where the applicable legal requirements are satisfied.

    20.10) Singapore GST on Imported Goods

    GST treatment depends on the circumstances of the import and the status of the supplier.

    For qualifying low-value goods imported into Singapore by air or post, a GST-registered overseas supplier may be required to collect Singapore GST at the point of purchase.

    For other imported goods, GST may instead become payable at importation according to the rules administered by Singapore Customs and the Inland Revenue Authority of Singapore.

    Nothing in these TCS represents that every international order is automatically delivered duty-paid or with all import taxes prepaid unless this is expressly stated during checkout.

    20.11) Dispute Resolution

    Consumers should normally contact New kenshi first through contact@kenshiblades.com so that the matter can be reviewed.

    Where applicable, a Singapore consumer may seek assistance from CASE.

    CCCS administers the CPFTA but does not generally obtain individual refunds or compensation for consumers.

    The Singapore Small Claims Tribunals may hear eligible claims only where their jurisdictional requirements are satisfied. A claim cannot be served outside Singapore, and a respondent located outside Singapore may therefore fall outside the SCT process.

    20.12) Seller Established in France

    NOITAKY Matthieu is established in France.

    These TCS do not represent that NOITAKY Matthieu has a Singapore company, branch, office or local registration unless such information is expressly stated elsewhere.

    French law generally governs the contractual relationship, subject to any Singapore or other mandatory consumer rule that applies to the particular transaction and cannot lawfully be excluded.
